YouPay Referral Program Terms & Conditions

These Referral Program Terms and Conditions (“Terms”) govern participation in the YouPay Referral Program (“Program”). By applying to, enrolling in, or participating in the Program, you (“Referrer,” “you,” or “your”) agree to be bound by these Terms.

If you do not agree, you must not participate in the Program.

1. Program Operator

The Program is operated by YouPay Inc (USA), including its affiliates and related entities, including but not limited to YouPay Pty Ltd (Australia) and YouP Ltd (Cyprus) (collectively, “YouPay,” “we,” “us,” or “our”).

These Terms apply globally and are intended to operate to the fullest extent permitted by applicable law in all jurisdictions.

2. Eligibility

To be eligible to participate as an Referrer, you must:

• Be an approved YouPay creator
• Have completed all required identity and verification checks
• Maintain an active YouPay account in good standing
• Be at least the minimum legal age required in your jurisdiction

YouPay reserves the right to approve, reject, suspend, or revoke Referrer status at its sole discretion.

3. Referrer Role & Representation

As an Referrer, you agree that:

• You act as an independent contractor, not an employee, agent, partner, or representative of YouPay
• You must represent YouPay honestly, accurately, and professionally
• You must not make false, misleading, exaggerated, or unauthorised claims about YouPay, its services, or earnings potential
• You must not imply any guaranteed income or misrepresent commission structures

You may only use YouPay branding, trademarks, or promotional materials as expressly authorised by YouPay.

4. Prohibited Conduct

You must not, directly or indirectly:

• Engage in any activity that breaches YouPay’s Terms of Service, Privacy Policy, Acceptable Use Policy, or any other applicable policies
• Engage in spam, misleading advertising, deceptive practices, or unlawful promotion
• Infringe intellectual property, privacy, publicity, or other rights
• Promote YouPay in a manner that is defamatory, obscene, illegal, or harmful
• Attempt to manipulate, interfere with, or abuse the referral or commission system

Any breach may result in immediate suspension or termination of your participation.

5. Referral & Commission Structure

5.1 Commission Rateha

Referrer will earn 10% of the net revenue received by YouPay from gifts sent to creators directly referred by the Referrer.

• Commissions exclude revenue related to chargebacks, refunds, fraud, disputes, or reversals
• Only revenue actually received and retained by YouPay is commissionable

5.2 Commission Duration

Commissions are payable for as long as the referred creator remains active on YouPay, with no expiry, unless terminated under these Terms.

5.3 Calculation & Finality

All commission calculations, tracking, and determinations made by YouPay are final, binding, and conclusive.

You acknowledge and agree that:

• YouPay has no obligation to provide detailed breakdowns beyond those it chooses to make available
• There is no right of audit, dispute, or recourse regarding commission calculations
• YouPay shall not be liable for any discrepancies, errors, or adjustments

6. Payment Terms

• Commissions are calculated quarterly
• Withdrawals are available after the end of each quarter (March, June, September, December)
• Minimum withdrawal thresholds, payment methods, and processing times are determined by YouPay
• You are solely responsible for taxes, duties, and reporting obligations in your jurisdiction

YouPay may withhold, delay, or offset payments where required by law or in cases of suspected fraud, breach, or abuse.

7. Legacy Referrers

Referrers participating in prior referral programs will retain previously referred creators.

Any accrued balances up to 31 December 2025 will be calculated and made available after 15 January 2026, subject to these Terms.

8. Termination

YouPay may suspend or terminate your participation in the Program at any time, with or without notice, including if:

• You breach these Terms
• You breach any YouPay policies
• Your account is suspended or terminated
• YouPay discontinues or modifies the Program

Upon termination:

• Future commissions will cease
• Unpaid commissions may be forfeited where permitted by law
• Sections intended to survive termination shall remain in effect

9. Program Changes

YouPay reserves the right to modify, amend, suspend, or terminate the Program or these Terms at any time, for any reason, without prior notice.

Continued participation after changes constitutes acceptance of the updated Terms.

10. No Warranties

The Program is provided “as is” and “as available”.

YouPay makes no warranties, express or implied, including but not limited to:

• Earnings potential
• Availability or continuity of the Program
• Accuracy of tracking systems
• Uninterrupted or error-free operation

11. Limitation of Liability

To the maximum extent permitted by law:

• YouPay shall not be liable for any indirect, incidental, consequential, special, or punitive damages
• Total liability shall not exceed the total commissions paid to you in the preceding 12 months
• YouPay is not responsible for lost profits, lost opportunities, or business interruption

12. Indemnification

You agree to indemnify and hold harmless YouPay and its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, or expenses arising from:

• Your participation in the Program
• Your promotional activities
• Your breach of these Terms or any applicable law

13. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws applicable to YouPay Inc, without regard to conflict of law principles.

You agree that YouPay may enforce these Terms in any jurisdiction where it operates or where you reside.

14. Entire Agreement

These Terms constitute the entire agreement between you and YouPay regarding the Program and supersede any prior agreements or representations.

If any provision is held invalid, the remaining provisions shall remain in full force and effect.

Acceptance

By clicking “Register Interest” (or any other button associated with an application form), applying to, or participating in the YouPay Referral Program, you confirm that you have read, understood, and agree to be bound by these Terms.
